Terms and Conditions

Please read the following terms carefully before using Services of the portal – " www.backofficeservices.co.in " (hereafter known as "Service Provider") as a User/Client (hereafter known as "User"). These Terms of Use ("Terms and Conditions”) shall serve as an agreement which will govern your use and participation in the services provided. By electing to utilize the Services you shall have also indicated your acceptance of these Terms of Use, and your intent and agreement to be bound by them. If you are unwilling to agree to these Terms of Use, you shall discontinue further use of the Services. If you agree to these Terms of Use, you will be bound as follows:

1. Description of Services

Services are performed by Service Provider per the project specifications and per request from the User and as agreed thereafter.

2. Limits on the Services

The Services are only available for lawful job work not otherwise excluded. The services are open to only registered Users. In order to register, you need to provide all information as required at the time of registration as asked thereafter. Applicable Local, State and Central laws and regulations may further limit the Services.

Users shall not utilize the Site or the Services in connection with any transaction that is illegal/illegal items, involves any obscene material/pirated software, DVD/videos/item(s) otherwise infringing copyrighted works. Each User agrees to indemnify and hold Service Provider harmless for losses resulting from any use or attempted use of the Services in violation of this Agreement.

3. Account Registration

To access Site Services or become a Member you need to register for a User Account. While registering you agree to provide true, accurate and complete information, and update your information to maintain its truthfulness, accuracy and completeness. You shall not provide misleading information about your location and shall not register for more than one User Account.

To register for an Account, you must be a legal entity, or an individual in business who can form legally binding contracts per the law of land. As a Member, you may create Member Accounts by adding Team Members to your Account to act on your behalf in the roles you assign. You may also grant certain account administration privileges to one or more Team Account Administrators.
Each Team Member must be a real person and Service Provider reserves the right to require any Team Member’s identity to be verified at any time.

4. Digital Identification

The User understands and agrees that Service Provider will create, issue, and verify a digital identification ("User ID") for each User. This User ID is tagged to each accepted electronic document and notification of e-mails. You agree that your Digital ID is a valid "Electronic Signature.

As a Member, you agree and you are entirely responsible to safeguard and maintain the confidentiality of the username and password you use to access this Site. In addition, if you own Team Account, or if you are a Team Account Administrator, you agree to safeguard and maintain the confidentiality of all your Team Account passwords.

In either case, you authorize Service Provider to assume that any person using the Site with your username and password or your Team Account passwords, and the username of any Team Account added by an Account Administrator (if any) either is you or is authorized to act for you.

You agree to notify us immediately if you suspect or become aware of any unauthorized use of the Account or any related Team Account or access to your password or the password of any User of your Account or any related Team Account.

5. Security/No Disruption

This website to be accessed by authorized users with a User id and Password and thus protected for security purpose. You shall comply with any security processes and procedures (such as passwords) with respect to access to or use of this Web site.

You agree that you will not disrupt the functioning of this Web site or otherwise act in a way that interferes with other users' use of this Web site.

6. Compensation and Funding

The User agrees to pay the compensation for the services as agreed, and thereafter for any increased hours of services. The User agrees to deposit the amount with us as advance per agreed terms, and once the project is completed the User will release the fund against invoice, if no more issues in the final work product.

7. Account Balances and Funds

You may have a balance of funds in your Account if you add funds inyour account. Service Provider holds your excess funds separate from its operating accounts. The amount will be transferred to our account once the amount is due to our account against an invoice.

8. Currency

The user fund the Escrow in respective currency and the amount will be kept in the same currency till the amount is transferred to our account. Service Provider is not responsible for currency fluctuations that occur when billing or crediting a credit or debit card denominated in a currency.

Nor is Service Provider responsible for currency fluctuations that occur when receiving or sending payment via wire transfer, check or automated clearinghouse to and from your Account.

9. Responsibilities

Service Provider is obligated to perform only those tasks/duties expressly described in any project. The Service Provider will not be liable for any error in judgment, for any act taken or not taken, or for any mistake of fact or law. Service Provider always ensures to use the best of its resources to complete any given task.

However, if a task cannot be completed for any reason, the Service Provider will notify User in advance about such inabilities, and no invoice will be raised for the tasks for incomplete tasks.

10. Limitation of Liability

To the extent permitted by applicable law, neither service provider nor its affiliates/parent, shall be liable for any damages, whether direct, indirect, incidental, special or consequential, relating to your use of the site or the services or your inability to use the site or the services.

11. Termination of Services

Service Provider reserves the right in its sole discretion to refuse, suspend, or terminate service to anyone upon discovery that any information you provided on any form or posted on the Site is not true, accurate, or complete, or as a result of other violations of the Terms of Service, or for any other reason or no reason in Service Provider’s sole discretion.

Except as warranted by risk to the security, privacy or integrity of the Services, Service Provider will attempt to provide User with prior notice of the suspension or termination of the Services by sending you an e-mail, but Service Provider is not obligated to do so.

The User shall remain liable for all transactions you initiate through the Services prior to such termination, and the performance of your obligations, including but not limited to, the delivery of the items and the payment of all amounts you owe prior to termination or discontinuation of your use of the Services.

The User shall pay all costs and expenses (including reasonable attorneys' fees) that Service Provider may incur in order to
(a) collect any amounts you owe under this Agreement or
(b) to initiate an arbitration or judicial proceeding to resolve any such disputes.

12. Non-Transferability of User Account

You may not assign this Agreement to any other person or entity other than those who are authorized per your company set up.
Your right to use the Services shall not be sold or transferred to any other person or entity without the prior written consent of Service Provider. Any assignment or transfer in violation of this provision shall be null and void.

13. Modifications

Service Provider reserves the right to change this Agreement, or any portion of it, at any time, without prior notice, provided that no such change will apply to a transaction once the Users to such transaction have agreed.
You understand that the most recent version of this Agreement will be located on the Site.

14. Notices

Notices from Service Provider to you will be given by e-mail, or by general posting on the Site.
You may contact Service Provider by filling out the customer support form or such other email address as Service Provider posts as its address for notice on the Site in the most recent version of the Terms of Use

15. Indemnification

You agree to indemnify and hold Service Provider, affiliates/parent of Service Provider, and their respective officers, directors, shareholders, employees and assigns, harmless from any claim, demand, expense or damage, including reasonable attorneys' fees and court costs, arising from or relating to your use of the Services or any violation of this Agreement.

The rules contained on the Site or the Transaction Escrow Instructions, including, without limitation, payment of Service Provider fees and any charge backs from a card organization or reversal or nonpayment of any credit or debit entry.

16. General

 At the beginning of your Account application, and from time to time thereafter, your Account may be subject to verification as well as editorial and feedback reviews.

 In the event of any dispute, claim, question, or disagreement arising from or relating to, this Agreement or to the underlying transaction, or breach of any of them, you agree to resolve such dispute in the manner set forth in the instructions. This Agreement shall be governed by the laws of the State of Karnataka.

 If there is a conflict between the terms and conditions of this Agreement, the rules contained on the Site, and/or the Escrow Instructions, then the conflicting terms set forth in the Escrow Instructions shall control first, these Terms of Use shall control second and the rules contained on the Site shall control third.

 If any term or other provision of this Agreement is invalid, illegal or incapable of being enforced by any law or public policy, all other terms and provisions of this Agreement shall nevertheless remain in full force and effect for so long as the economic or legal substance of the transactions contemplated hereby is not affected in any manner materially adverse to any party hereto.

 Service Provider may assign this Agreement to any current or future affiliated company and to any successor in interest. Service Provider also may delegate certain of Service Provider rights and responsibilities under the Agreement to independent contractors or other third parties.
